  1. Approval; Changes
    • These Terms of Use (the "Terms"), together with our Privacy Notice [https://www.pointer4u.co.il/privacy-policy] constitute a legally binding agreement between you ("User", "you", or any bias thereof) and us (collectively, "we", "us", or any bias thereof), which will apply to your browsing and any other use of https://www.pointer4u.co.il ("Compound")"), which provides access to the Sites, templates, products, tools, features, software, programs, code, technology, plug-ins, graphics, audiovisual content, components, services, upgrades, updates and all related applications, currently existing or to be offered by us in the future, and any content and/or URL pages contained under such domain (collectively, the "Site").
    • From time to time and at our sole discretion, we may amend, modify or replace these Terms, by posting updated versions on the Site or by notifying you by other means. All changes to such Terms will be effective upon posting of the amended Terms or upon receipt of notice of a change to the Terms. If you do not agree to the new or different terms, do not use or access the services offered under the Site.

    • The Site provides you with comprehensive information and resources about Pointer's products, the system, technology and any other content related to them (including contact information, videos, text, logos, icon buttons, images, data collections, links, other special content, documentation, data, related graphics and features (collectively, the "Content").
    • All rights in the Site and in the Content, which are available on the Site, are reserved to Pointer Israel Ltd. Commercial Products are subject to change. The content available on the Site does not constitute an offer to sell or an endorsement of an offer to purchase any security in any country.
  3. User account
    • You understand that in order to access or otherwise make use of all or some parts of the Site, you will be required to establish a user account (the "Account"). In order to set up your account, you will be required to provide certain information, including, but not limited to, contact information. Our use and storage of the information you share with us in this respect will also be in accordance with these Terms of Service and our Privacy Notice.
    • For the avoidance of doubt, the User Account and all permissions granted in relation to this Account are personal and non-transferable. The user may not assign, transfer or share access to the account.
    • We may, in our sole discretion, change, cancel and/or otherwise require the username associated with your account if we believe you have violated these Terms of Service.
    • Although we take reasonable steps to secure and protect the information in your account in connection with your access to the Site, we cannot guarantee complete protection against exposure resulting from malicious acts, and therefore we are not liable for any damage, whether direct, indirect, incidental, or consequential, caused to the user by such exposure to account content or information in connection with your access.

  • External links. You understand that our Site may contain any external links to third party websites (including those of our business customers offering the Output Content) and/or any other advertising materials (the "External Content"). External content may be based on information collected by us from our users, in accordance with our Privacy Notice. However, we have no control over the content, order or accuracy of the External Content, and we are not a direct party to any transaction arising from such External Content (if applicable), and therefore assume no responsibility and/or liability in this regard. It is hereby clarified that these Terms of Service do not confer any right or title to our intellectual property (or any part thereof), including, but not limited to, our proprietary content. These Terms of Service do not constitute an assignment or waiver of our proprietary rights under any law.
  1. Privacy and data protection
    • In addition to these Terms of Service, your use of the Site and/or Services is also subject to our Privacy Notice, which informs you of our policies and practices regarding the collection, use and disclosure of information we receive when you visit our Site and use any part of our Services.
  • Notwithstanding our reasonable steps to secure and safeguard the information in your Account regarding the User's access to the Website, we cannot guarantee full protection against exposure resulting from malicious acts, and therefore we are not liable for any direct, indirect, incidental or consequential damage caused to the User as a result of such disclosure of Account Content or information relating to the User's access.   1. Limitation of Liability
    • TO THE FULLEST EXTENT PERMITTED BY LAW, WE SHALL IN NO EVENT BE LIABLE FOR ANY INJURY, DEATH, ACCIDENT, DELAY, DIRECT OR INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES RESULTING FROM (I) USE OF OR INABILITY TO USE (FOR ANY REASON) ANY PART OF THIS WEBSITE (INCLUDING, BUT NOT LIMITED TO, INACCURACIES OR ERRORS IN INFORMATION RESULTING FROM ACCESS TO THIS WEBSITE), (II) ACTION OR INACTION IN CONNECTION WITH THESE TERMS, OR (III) STATEMENTS OR CONDUCT BY YOU OR ANY THIRD PARTY ON THIS SITE OR YOUR WEBSITE, INCLUDING BUT NOT LIMITED TO ANY UPLOADS TO THEM; IN ANY EVENT, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER ON THE GROUNDS OF CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE.
  • Without derogating from the generality of the foregoing, we do not assume responsibility for any damage caused by viruses, worms and/or other malware that may infect the user's device(s) while using the Website.
  1. Indemnity

You will indemnify us, including our directors and officers, employees, service providers and/or affiliates (collectively, the "Indemnification Recipients"), for any claims, losses and/or damages arising out of your use, access to or reliance on the Site or Content or any third party claims or complaints arising out of your failure to comply with these Terms or in connection with such non-compliance, upon the first demand of the indemnification recipients.

  1. Governing Law; Class Action Waiver
    • Subject to any applicable law, all disputes between us will be resolved solely on an individual basis and you shall not have the right to bring any claim against us as a plaintiff or class member, consolidation of cases or class cases (or any other legal proceeding conducted by a group or representatives on behalf of others).
  • The laws of the State of Israel shall apply to these Terms of Service and/or in any other manner relating to your use of the Website, and the competent courts of Tel Aviv, Israel, shall have exclusive jurisdiction to hear any matter arising therefrom. Both sides recognize the said forum as a proper forum that will not cause unnecessary difficulty to either side.
  1. Check

You may not assign any rights and/or charges that you may have under these Terms of Service and/or the Privacy Notice without our prior written consent. We may freely assign any of the following rights and/or obligations, without restrictions; Provided that your rights under these Terms of Service shall not be materially impaired.

  1. cancellation
    • You may terminate your relationship with us in connection with the use of the Website at any time, by deleting your account and, if applicable, by ceasing browsing the Website (in case you do not have an active account).
  • We may, at any time, terminate the relationship with you by providing us with notice of the contact details you provided to us at the time the Account is established. Grounds for termination may include, but are not limited to, any breach by you of these Terms of Service, and/or your refusal (if necessary) to any amendment thereof.
  • However, the Terms of Service in effect on the date of such termination shall continue in force in connection with your use of the Site until such termination date (and the provisions of Sections 5, 7 to 9 (inclusive), and Section 10 shall continue to be in effect even after such termination, regardless of the reason and identity of the terminating party.
